Terms and Conditions of IFTS IT SOLUTION PRIVATE LIMITED - Fortax ERP

1. Introduction

Welcome to Fortax ERP, provided by IFTS IT SOLUTION PRIVATE LIMITED ("IFTS IT," "we," "us," or "our"). These terms and conditions ("Terms") govern your use of Fortax ERP software and related services ("Fortax ERP"). By using Fortax ERP, you agree to comply with these Terms. If you do not agree with any part of these Terms, please do not use Fortax ERP.

2. Definitions

• "IFTS IT": Refers to IFTS IT SOLUTION PRIVATE LIMITED, the provider of Fortax ERP.
• "Fortax ERP": Refers to the software and services provided by IFTS IT, including but not limited to the ERP system, modules, and related features.
• "User": Refers to any individual or entity accessing or using Fortax ERP.

3. License and Usage

3.1 License: IFTS IT grants you a limited, non-exclusive, non-transferable license to use Fortax ERP for your business operations.

3.2 Authorized Users: The license is valid for authorized users within your organization only. You may not sublicense or distribute Fortax ERP to any third party.

3.3 Restrictions: You agree not to:

• Copy, modify, or reverse engineer Fortax ERP.
• Use Fortax ERP for any unlawful purpose.
• Attempt to gain unauthorized access to Fortax ERP.

4. Privacy and Data Security

4.1 Data Handling: IFTS IT may collect personal data from Users as described in our Privacy Policy. By using Fortax ERP, you consent to the collection, use, and processing of your data in accordance with our Privacy Policy.

4.2 Security: While IFTS IT implements reasonable security measures, we cannot guarantee the security of your data. You are responsible for maintaining the security of your login credentials and access to Fortax ERP.

5. Intellectual Property Rights

5.1 Ownership: Fortax ERP and its components are owned by IFTS IT and protected by intellectual property laws.

5.2 License Restrictions: You may not:

• Copy, modify, or distribute Fortax ERP without explicit permission from IFTS IT.
• Remove or alter any copyright, trademark, or other proprietary notices from Fortax ERP.

6. Payment and Billing

6.1 Fees: Payment terms and fees are specified in your subscription agreement or purchase order.

6.2 Billing: You are responsible for timely payment of applicable fees. Failure to pay may result in suspension or termination of access to Fortax ERP.

7. Support and Maintenance

7.1 Support: IFTS IT provides technical support as per the terms outlined in the service agreement.

7.2 Updates: Regular updates and maintenance are included in your subscription to ensure optimal performance of Fortax ERP.

8. Limitation of Liability

8.1 Disclaimer: Fortax ERP is provided "as is" without warranties of any kind, express or implied.

8.2 Liability: IFTS IT shall not be liable for any indirect, incidental, or consequential damages arising from the use of Fortax ERP.

9. Termination

9.1 Termination: Either party may terminate the agreement with notice as per the terms outlined in the service agreement.

9.2 Effect of Termination: Upon termination, you must cease all use of Fortax ERP and return or destroy any copies of the software.

10. Governing Law and Dispute Resolution

10.1 Jurisdiction: These Terms are governed by the laws of India.

10.2 Disputes: Any disputes arising from these Terms shall be resolved through arbitration in Lucknow, India.

11. Amendments

11.1 Changes: IFTS IT may update these Terms from time to time. You will be notified of any material changes to the Terms.

11.2 Acceptance of Changes: Continued use of Fortax ERP after changes to the Terms constitutes acceptance of the revised Terms.

12. Miscellaneous

12.1 Entire Agreement: These Terms constitute the entire agreement between you and IFTS IT regarding the use of Fortax ERP.

12.2 Severability: If any provision of these Terms is deemed invalid, the remaining provisions shall remain in effect.
